1. General
These Terms and Conditions shall govern all trading between Ultraspec Carpentry Ltd ("the Company") and its Client ("the Client") and shall apply to all work undertaken by the Company unless otherwise agreed in writing.
Acceptance of a quotation, Purchase Order or instruction to commence work shall constitute acceptance of these Terms and Conditions.
2. Orders and Instructions
No work shall commence until the Company has received an official Purchase Order, written instruction or other formal authorization from the Client.
Any variations to the agreed scope of works must be confirmed in writing before additional work is undertaken.
"DAISY CHAIN CONTRACTS" BETWEEN CARPENTRY FIRMS AND ERECTOR'S:
Ultraspec Carpentry Group Ltd (the company"), shall not take on any works in a "DAISY CHAIN" (gang to gang to main client setup), with regards to any Timber Frame and New Build projects, and as such, shall deal with main Kit suppliers, and construction clients only.
3. Quotations
Unless expressly stated otherwise, all quotations and tenders submitted by the Company are for labour only.
Quotations are based upon the information supplied by the Client at the time of pricing. Any changes to the scope of works may result in revised costs.
4. Plant, Machinery and Equipment
Where specialist machinery, lifting equipment, access equipment, cranes, telehandlers, forklifts or other plant is required to complete the works, it shall be the Client's responsibility to ensure that:

Suitable equipment is available on site when required.

All equipment is safe, maintained and certified where applicable.
•Competent and appropriately qualified operators are available.
Where such equipment is arranged by Ultraspec Carpentry Ltd on behalf of the Client, all associated hire charges shall be recharged to the Client unless otherwise agreed in writing.
The Company accepts no responsibility for delays caused by unavailable or unsuitable plant.
5. Materials
Unless otherwise agreed in writing, all materials required to complete the works shall be supplied by the Client.
The Client shall ensure that all materials are delivered to site in sufficient quantities and at the appropriate time to allow the works to proceed without interruption.
Where delays arise because materials are unavailable, incorrect, damaged or delivered late, Ultraspec Carpentry
Ltd reserves the right to recover any additional labour costs, standing time or remobilisation costs incurred.
6. Incidental Purchases
Where minor consumables, fixings or other low-value materials are required during the works, the Company may authorise employees to purchase such items on behalf of the Client.
These items will be:

Fully itemised.

Charged at cost.
• Included within the Company's invoice.
7. Site Access and Client Responsibilities
The Client shall ensure that:

Safe and unrestricted access to the work area is available.

The working area is ready for commencement.
-
Suitable welfare facilities are available where required.
-
The site complies with all applicable Health & Safety legislation.
• All preceding trades have completed work necessary for Ultraspec Carpentry Ltd to commence.
The Company reserves the right to suspend work where unsafe conditions exist.
8. Delays
The Company shall not be liable for delays caused by circumstances outside its reasonable control including but not limited to:

Weather conditions.

Site closures.
-
Material shortages.
-
Delays by other contractors.
-
Client instructions.
-
Equipment failures.
• Restricted site access.
Where such delays result in additional labour, travel or remobilisation costs these shall be chargeable to the Client.
9. Waiting Time
Should Company employees be unable to work due to circumstances beyond the Company's control, including but not limited to:
-
Site not being ready.
-
Materials not being available.
-
Machinery unavailable.
-
Access restrictions.
• Delays caused by other trades.
Such waiting time shall be chargeable at the agreed labour rates.
10. Weather Delays
Construction activities are dependent upon suitable weather conditions.
Ultraspec Carpentry Ltd shall not be liable for delays resulting from adverse weather and reserves the right to suspend works where weather conditions make working unsafe or could compromise the quality of the installation.
11. Variations
Any work requested by the Client that falls outside the original quotation, or Purchase Order shall constitute a variation.
Variations will be charged at the Company's prevailing labour rates unless otherwise agreed in writing.
12. Payment Terms
Unless otherwise agreed in writing, invoices are payable within 14 days of the invoice date.
The Company reserves the right to:

Suspend works where payments become overdue.

Charge statutory interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
• Recover reasonable debt recovery costs.
13. Suspension and Termination
Ultraspec Carpentry Ltd reserves the right to suspend or terminate work immediately where:

Invoices remain unpaid beyond agreed payment terms.

The Client breaches these Terms and Conditions.
-
The site becomes unsafe.
-
Access is denied.
• Continued working would place employees at unnecessary risk.
The Client shall remain liable for all work completed and costs incurred up to the date of suspension or termination.
14. Insurance
Ultraspec Carpentry Ltd maintains appropriate Employers' Liability and Public Liability Insurance.
Evidence of insurance shall be provided upon request.
15. Retention of Title
Where the Company supplies any materials, ownership shall remain with Ultraspec Carpentry Ltd until full payment has been received.
16. Photography
Unless expressly prohibited in writing, the Company reserves the right to photograph completed works for quality assurance, training and marketing purposes.
No confidential client information or identifying site details will be disclosed without permission.
17. Liability
The Company's liability shall be limited to the value of the contract relating to the works undertaken.
The Company shall not be liable for:

Indirect losses.
-
Consequential losses.
-
Loss of profit.
• Delays beyond its reasonable control.
18. Force Majeure
Neither party shall be liable for failure to perform its obligations where such failure results from circumstances beyond reasonable control including but not limited to acts of God, industrial disputes, pandemics, government restrictions, war, terrorism or shortages of labour or materials.
19. Governing Law
These Terms and Conditions shall be governed by the laws of England and Wales.
Any dispute shall be subject to the exclusive jurisdiction of the Courts of England and Wales.
Acceptance
By issuing a Purchase Order, providing written authorisation or allowing Ultraspec Carpentry Ltd to commence work, the Client confirms acceptance of these Terms and Conditions.
